The Accounting and Corporate Regulatory Authority (ACRA) mandates that every company must appoint a company secretary within 6 months from the date of its incorporation and the appointee must be residing locally in Singapore, and he/she must not be the sole director of the company.

The secretary of a public company must comply with section 171(1AA) of the Companies Act i.e. must possess at least one of the following qualifications:

• Qualified person under the Legal Profession Act (Cap. 161).
• Public accountant registered under the Accountants Act (Cap. 2).
• Member of the Institute of Certified Public Accountants of Singapore.
• Member of the Singapore Association of the Institute of Chartered Secretaries and Administrators.
• Member of the Association of International Accountants (Singapore Branch).
• Member of the Institute of Company Accountants, Singapore.

ACRA requires every business to have a registered office which is operational and contactable during normal working hours. The company registered address acts as a business correspondence for our clients such as notices and official documents. However, the registered address cannot be a PO Box. The Companies Act requires every company to maintain certain statutory registers. These registers are mainly administrative and clerical records where we provide proper maintenance for them.

It is a statutory requirement to have at least one resident director according to the Companies Act. Our services can fulfill this requirement with confidentiality.

The provision of this service is subject to the following terms:

• The service is offered for statutory compliance only. The Nominee Director will not be involved in any day-to-day management, financial, or operational matters of the company.
• To appoint one or more individuals to be the directors that are responsible for running the company operations.
• Must satisfy our KYC process.
• Must execute our Engagement & Indemnity Agreement.
• Must subscribe to our secretarial services and other consultancy solutions.

Our fees for acting in this capacity are based on some factors including the nature of the proposed structure and the degree of responsibility borne by the nominee director.

A company, which is defunct and solvent, wants to cease its business must officially apply to ACRA to strike off its name from the Register. A company is still required to file Annual Returns to ACRA before it officially strikes off. A penalty will be imposed on the Company and/or the management for the failure of submission of Annual Return.

Conditions:

• The company must have ceased all trading activities.
• The company is not involved in any form of court proceedings within and outside Singapore.
• The company has no assets and liabilities.
• The company has no outstanding penalties or offers of composition fine owing to ACRA, IRAS and not indebted to other government departments.
• The company has no outstanding charges in its charge register e.g.,. No mortgages, etc.
• Company officers have no outstanding ACRA summons.
• Company officers have no outstanding ACRA summons.
